If you receive error "0xC004F061" when trying to activate Windows 7, it means you're using a product key for an upgrade version of Windows 7 and a previous version of Windows wasn't on your computer when Windows 7 was installed. To install an upgrade version of Windows 7, Windows Vista or Windows XP must be installed on your computer. If you formatted the drive before starting the installation process, you won't be able to use the upgrade product key to activate Windows 7. To activate Windows 7, you'll need to install your previous version of Windows, and then reinstall Windows 7. I hope that this will definitely help you in solving the problem.

I think that yo must have entered a wrong and invalid key while activating the windows 7. This problem normally the users get who are associated with the windows 7. The thing here is that if you are inserting a wrong key and then try to activate where it will first check whether the key that you have entered is valid or not if it is valid then you will not face any problem, but as said by you that you are getting the error than that error suggests me that the key entered by you is definitely wrong. So try and enter a valid key and doing that will help you for sure.

I have gone through your problem and it seems to me that you are getting this error due to the product key that yo are using to enter here . Generally this error occurs when you try and install Windows 7 from a clean drive with an upgrade license. Now if you have to solve this problem then you have to follow the following steps:
First of all you have to run as you are the administrator
Then just open that command prompt and the you have to run the below command.
    Code:
    slmgr -ipk <Product key>
Make sure that you have to enter the valid key on the product key column.

I guess there are mistakes while you upgrading the system from XP to windows 7 and also the key that you are enter are not valid. Make sure that you have followed the proper steps of upgradation. and if you think that you have committed mistakes while upgrading the system than just follow this steps:
    • Make sure that your programs and devices will work with Windows 7
    • Moving files and settings, and gathering your program discs
    • Installing Windows 7
    • Moving your files and settings back to your computer
    • Reinstall your programs and update drivers

Follow this steps and again install the windows 7 on your system. I hope that it will help you for sure.

you can solve this problem by just contacting the Microsoft officials and then placing your complaint over there. what they will do here is just ask you the product key and then will ask you the product key that you are using. They will then check whether the key is valid or not and if the key is not valid they will provide you the valid one which will help you to solve the problem. I hope that this one sure will help you to fix your issue.

Make sure that the key entered by you is the proper one and also the original one. The thing here is that you must installed the setup from any corrupted source or the pirated one. One thing that you have to take care is that always use the original copy that will not give you such errors. Now what you have to do here is fire a complaint in front of Microsoft i hope that they will help you to get you the new product key.
