which one: E1200 or S440

Which one is better:
Celeron E1200 or Celeron S 440

I need a COLD socket 775 processor for an Asus Pundit P2 Barebone.
Actually i have an Intel® Pentium® 4 Processor 641 (Boxed, FC-LGA4, "Cedar Mill") and the temperature is very high so the fan gets very noisy.

I use the pc as media center only for watching TV shows an divx movies.

Celeron S440 is better.

Why is better?
E1200 is dual core.

If i were you i would go for Intel Core 2 Duo E7200, 2x 2.53GHz, 266MHz FSB, 3MB shared Cache, boxed (BX80570E7200)

which temperature reaches in full activity?
I need a really cold processor.
I use this pc just for watching TV and divx, no for playing games so i don't need a powerfull processor ;-)

And the Celeron E1200 or Celeron S 440 costs only 38€
