That doesn't matter where you are running the XP but you need to have license for it.You will get a free XP license via XP mode if you have Window 7 Pro,Ult, or Ent.You can use whichever VM program you want with your Mode installation only if you have the correct version of Window 7.There is no requirement by MS that you must use Windows VPC with XP Mode.

According to Data sheet of VMLite's you need to have a licensed copy of Windows XP in virtualized image file format. As far as I know, any company don't like their products to be stolen. It's a violation of the EULA to use XP Mode on any operating system other than Window 7 Pro,Ult, or Ent.There is no limitation on which VM engine you use to run XP mode.

To make sure that each windows XP license is installed in accordance with the EULA,Product activation is must. Licensed windows XP will not permit installation on more than the number of computers that the license permits.During installation of Windows XP windows create a unique installation Identification(ID), which id created on the basis of Information from product ID. And it also create a hardware identifier.

No its not OK to use XP Mode vhd in VirtualBox without a license using VMLite XP Mode Plugin because this license is only valid with windows 7 pro or better where XP mode is used with Virtual PC in a system.but there is a trick which allows you to download XP mode, activate it and use it in VirtualBox, and you can install it on Home edition.
