See the "How to obtain help" section of

i went there, read all that it had to do with XP, and still so confused.
Retried to update, and still nothing. It failed same as the last 10 times...

See the "You may receive a "0x8007F0F4" error code when you try to install
updates from the Windows Update Web site or from the Microsoft Update Web
    site "

    <http://support.microsoft.com/kb/958051>

    XP Pro .... MCE platform.
    All other updates were OK.
    ..
Maybe we have a "Service" or two disabled that should be Started.

Disable "Automatic Updates" in the My Computer properties for awhile ,
and your system will not nag you to install KB973768 that will continue to
    fail.
    OR
According to http://support.microsoft.com/kb/958051 explanation on the error
    code,
( that is very helpful ) ..... this update might not be for your PC.
Sooooo .... "Hide" the update with:

Method 2: Hide the incorrect update
If the update installation application detected that the update is incorrect
for your computer, one of the following conditions may be true:
a.. The update may have been previously installed.
b.. The update is older than the currently installed update.
c.. The update is incompatible with your computer.
This update should be ignored or hidden in the Windows Update or Microsoft
    Update interface.

To hide the update so that it is not offered again, follow these steps:
1.. Visit the following Microsoft Update Web site:
    http://update.microsoft.com (http://update.microsoft.com)
2.. As soon as the scan for updates has finished, click Custom on the
    Welcome to Microsoft Update page.

I'm having the same problem and was just wondering if you have installed
Internet Explorer 8 since a number of the other answers seems to indicate
that the update is contingent on other updates already being installed ~ just
    a thought.
I haven't done that yet, but guess I may have to just to see if that fixes
    the problem.

I've had the same problem. Here's what I've found:

Referring to http://support.microsoft.com/kb/973768, in the "Applies To"
section (near the bottom of the page), update KB973768 applies only to XP
systems with MCE 2005 installed--not those with MCE 2002 (as my system has).

I'm guessing that the Windows Update checker is at fault, and is prescribing
this update based on invalid criteria (e.g., looking only for an MCE
installation, but not checking for MCE version).

Based on the above, if you have MCE 2002 installed, you could safely tell
Windows Update to ignore this particular update. To confirm this, right-click
on "My Computer" and select "Properties"--the dialog box will display your
    Windows and MCE version.

So I too am having this problem. I am a bit confused as when I get the
notice that there is an update ready to install (KB973768) and I click on the
link for 'more information', it takes me to a page refering to Microsoft
Security Bulletin MS09-037 (Vulnerabilities in Microsoft Active Template
Library (ATL) Could Allow Remote Code Execution (973908)). Whats up with
    that?

    Have the same problem.
    Tried your solutions.
After 2+ hours on the phone w/ Microsoft tech person and them remoting onto
my computer. They could not solve the problem and said this error/issue
would have to go to their "escalation" team to resolve.
Any suggestions to stop the error?

I am sure you may like to check the main article for the updates

    like in my case

    http://support.microsoft.com/kb/973768

the update is not compatible with the Media center 2002 so thats why i was
not able to install this was confirmed after cecking with the applied to on
    the article

There is often more than one update - for different products, or different
versions of products, affected by the same issue - associated with a single
security bulletin, and these updates may have different KB numbers. So there
isn't a 1:1 relationship between security bulletin numbers and update numbers.

I suggest you phone Microsoft for assistance with the problem you are having
installing the update. This is free of charge for home users (in some parts of
the world you may be required to pay for the phone call itself) and details are
    in the KB article:

    http://support.microsoft.com/kb/973768

    There's even no KB973768 for MCE 2002. It's for MCE 2005 *exclusive*.
If you aren't running MCE 2005, I would recommend to hide KB973768 on
    the Windows/Microsoft Update site.

Wait for the "escalation" team's response, perhaps?

Thank you very much. I also have MCE2002 and agree with your analysis. I
will figure out how to tell Updater to ignore this one so I can get rid of
    the reminder.

Why on earth would you want to hide a critical security update?

See the "How to obtain help" section of
    http://support.microsoft.com/kb/973768

For home users, no-charge support is available by calling 1-866-PCSAFETY
and/or 1-866-234-6020 in the United States and in Canada or by contacting
your local Microsoft subsidiary. There is no-charge for support calls that
are associated with security updates. When you call, clearly state that
your problem is related to a Security Update and cite the update's KB number
    (e.g., KB999999).

If your problem relates to a Cumulative Security Update for IE, call the
above number and ask to be transferred to the "Consumer IE queue" (which is
    47830).

    Or you can...

Start a free Windows Update support incident request:
    https://support.microsoft.com/oas/de...spx?gprid=6527

    Consumer Security Support home page
    https://consumersecuritysupport.microsoft.com/

For more information about how to contact your local Microsoft subsidiary
for security update support issues, visit the International Support Web
    site: http://support.microsoft.com/common/international.aspx

if you try to download manuallly the update
    http://www.microsoft.com/downloads/d...displaylang=en
you'll get an error about the language files. Could be this the issue?? I
got Portuguese version of MCE 2002 and there is no KB973768 in Portuguese!

    KB973768 fails to install

I am running Windows XP Professional. This auto update started failing after
rolling back and re-updating Windows Media Player to v11 (which isn't working
    right).

Since I'm Windows XP Professional Version 2003 Service Pack 3 this looks
like it shouldn't apply to me.
