sad d3d8thk.dll Bad Image ; windows vista home basic

    Hello,
I'm very troubled as I had problems with this computer and actually, I'm annoyed with it.
It keeps on popping out "BadImage C:\Windows\System32\d3d8thk.dll" when the compter starts up ..
this was not the actual message as I had forgotten the full form, if you need it I'll post it up .

I could not replace the bad image because of some permissions ...
when I tried to replace it, it says "Destination Folder Access Denied "
and gave me an option of "Try Again" or "Cancel" ,
choosing "Try Again" was basically useless for me as it keeps on popping out again , and in the end, nothing was changed ...
Please help me and reply ASAP
I'm afraid that something would happen to this computer ...

How to register dll,How to install or reinstall :

After you download "*.Dll"(file extension dll) on your machine, copy it to
    windows/system32/
Go to "start" ==> "run" and type "regsvr32 *.dll" to register the file to the system. For windows 95/98/xp/2000/vista,and win vista,no dlls is corrup!

    Please copy it to windows/system32/

Please read the instructions carefully before you download the dll file.Take the proper steps to safely clean and repair windows errors.

    when I copy it to "C:\Windows\System32" ,
a prompt ask me whether I want to "Copy and Replace", "Don't Copy" , "Copy But Keep Both Files[d3d8thk (2)]" and I chosed "Copy And Replace, What happens is, "Destination Folder Access Denied">You need permission to perform this action , and "Try Again" or "Cancel" I chose "Try again" but it doesn't work as it keeps on popping out?

Just to make sure you`ve got a suitable unzipper download HERE (http://www.camunzip.com/).
The extract button is on the far right hand side of the program display.
Extract the d3d8thk.dll to C:\WINDOWS\SYSTEM32\ overwriting the existing copy.

If the problem still occurs, try the following:

    1. Press Start and select Run
    2. Type CMD.EXE and press Enter
    3. Type regsvr32 d3d8thk.dll and press Enter
