Server 2003 hangs on boot in normal & safe mode

I have been playing with a test server, this will become my main server once
I get all the bugs work out. AD,DNS,DHCP,WSUS. The System has ran fine for 3
years as a Novell server.

After fresh Install server hangs before it gets to GUI portion of loading.
Also hangs booting in safe mode and shows loading of acpitabl.dat as the
last entry

Installed using Windows Server 2003 R2 standard edition CD

Specs
Gigabyte GA-7N400 Pro 2 Rev 1.0 MB (AMD 2500 CPU)
Has 2 (512MB) & 2 (256 MB) ddr memory chips
currently has 1 20gb IDE HD
NVIDIA FX5700 Video card
USB DVD for booting/installing OS
BIOS is a latest version
Intel Pro100s NIC

MB has on board IDE Raid & SATA (with Option for Raid) both are currently
disabled

I have also had a 120GB SATA HD installed and enabled with same results. I
install latest SATA driver from Gigabyte during initial install
I have also tried disabling the IDE with HD unplug & using only the SARA
drive with same results.
I have remove memory to test -nothing seems to help


Now what's really weird is the system had an Adaptec 2940W SCSI with 4 18gb
HD & 1 9gb HD and with the IDE & SATA stuff & USB stuff disabled in
BIOS(Netware Server) and I installed W2K3 server on this setup and it
install and ran fine. But since the HD drives are rather small I then added
the 120gb Sata drive with success. But since my SCSI drives are from 1999 I
don't want to get the server up and running and then have the drive start
failing.

Any suggestion
