Cannot replace a DLL file in system32

I need to change a DLL file but Vista tells me I do not have permission to do
    so.
I am logged in as my User Name with Administrator rights.
    I have disabled Windows Defender.
Still can't carry out the replacement.

Can someone please tell me what/how else I need to do?

    Thank you heaps.

All the system files are owned by another process to protect themself
even from admins, take ownership of the file and you will be able to
change the permsions to give you access.

Out of curiosity, why do you think you need to do this?

One good reason to patch a system file is tcpip.sys to increase the tcp
    connection limit.

Well, I would say that different people would have different opinions on
the "goodness" of that. Patching system files tends to be a bad thing
to do as it could have implications on later updates.

Umm, i'm having some problems with a dll file also, everytime i start up
an executable, it tells me in a warning box:
"c:\windows\system32\rovoomuwi.dll was not created to be executed in
Windows or it contains an error". May not be like that in english, since
i'm translating from Portuguese, though it does say something like that.
It says on the title bar "program.exe - Invalid Image". Any ideas as to
    how to fix this?
    Thanks

You don't want that file. A quick Google for "rovoomuwi.dll" brings up
nothing, which is usually a good indication that the file belongs to
malware. Your antivirus/antispyware may have removed the malware but it
left a reference to the bad file in Startup. I would first scan your
computer to make sure it really is virus/malware free and when you know it
is, if the reference is still in Startup you can manage that as described
    below.

Go through these general malware removal steps systematically -
    http://www.elephantboycomputers.com/...moving_Malware

    Then, to manage your Startup:

Start Orb>Search box>type: msconfig and when it appears in the Results box
above, right-click and choose "Run as Administrator".

If you are prompted for an administrator password or for a confirmation,
type the password, or click Continue. Then see what is on the Startup tab.
You don't need to restart immediately, but the next time you do you'll get
a dialog saying you've used the Utility. Usually in Vista this will be
blocked by Windows Defender and you'll need to allow it so you can then
tick the box that says in effect, "don't bother me about this again".

Important - Do not use the System Configuration Utility to stop processes.
    Instead, use Services.

Start Orb>Search box>type: services and when it appears in the Results box
above, right-click and choose "Run As Administrator". Confirm elevation as
    needed.

The free Autoruns program is very useful for managing your Startup -

Well and to John... A computer and its OS is paid for, don't forget. And
a computer as far as I can remember back to when the ping pong came out
and which I got at the time and comps ever since... is something we like
to adjust, tweak to our use. NOT HAVING TO LISTEN TO ONE PARTICULAR
SOUND BECAUSE YOU GUYS THOUGHT HEY.. WE DECIDED SO... so an example
would be altering the login sound? I mean, you got 3rd party easily
changing the internal resources in imageres.dll for example.. I REALLY
would like an easier way to edit it and to save it.. cheesh.

PS> not saying that commodore ping pong thingy was a comp ;)
