Windows XP SP2 + GA-MA78GM-S2HP = DEATH

I got a new assembled pc about two weeks back.From the first day when I installed winxp sp2,it is giving me a lot of problems.Sometimes the mouse and keyboard freezes and there is no response from the pc.Sometimes I get a B.S.O.D saying "IRQL not less or equal".Some times I get a B.S.O.D with the error 0x0000007F stating beginning dump of physical memory.
I ran memtest86+ for an hour to check whether it is a faulty RAM,but there were no errors.I did a clean installation of Win Xp thrice but to no avail.All the drivers are updated.
Ubuntu 9.04 works fine without any issues.
