You might have installed a new software and for that you have set up dial up connection which is making the dialup to pop up at regular intervals. Refer to this topic called Disable automatic start of Dial-up connection to solve your issue.
See Tools > Options > Advanced > Network tab > Connection > Settings. Mine has a dot for "direct connection to the Internet"
Do this: Start/Control Panel/Internet Options/Connections
Select the radio button the says 'do not connect'. Click on OK and that should stop the automatic dial up.
The reason you are dialing is because the computer wants to get something from the Internet. This could be automatic updates, IM, mail programs, spyware etc. You need to make sure that there are no programs running when you boot up or shut down that do this. Windows remembers what it was doing when you shut down and boots up in the same configuration, so if you were connected when you shut down it will try to connect when you boot up.
