Just found something while looking for something else. Sounds like your problem and the solution. I am pasting it from the MSI forum.

Component:
nVidia networking bus enumerator/nVidia networking bus enumerator driver
Problem pops up:
At very first network activity (anti virus update, windows update and soo on) or at random times (downloading/surfing the web/ftp).
Problem description:
Suddenly, there are network activity, after a few seconds a BSOD sowing the message "DRIVER_IRQL_NOT_LESS_OR_EQUAL" pops up. The operating system points to the NVSNPU.SYS driver like the culprit of the exception.
Possible cause:
Bug in driver / nVidia's Firewall.
Possible work around 1:
Disable nVidia nForce 3 firewall (this work around is in testing process at this moment)
Possible work around 2:
Disabling Data Execution Prevention would alleviate this issue.
To disable DEP:
Edit boot.ini and change /noexecute=optin to /noexecute=allwaysoff

I dont think DEP is the culprits, K8V boards support the feature and its pretty stable. Could be the Nf3 firewall...
Ya..have already disabled DEP by editing Boot.ini........doesnt help
Also tried disableing Nf3 firewall(didnt install nf3 firewall drivers)...still had similar problems then.
Also sunmysore...i have no pci devices right now...so swapping mite not help...
have some frds in California with new rigs with amd 64 3200 and via motherborads with ati 9800...they r facing similar problems of driver IRQL ............and BSOD
And Pagladashu....yup...similar problem to the one you have shown...but in my case its NDIS.sys thats cauing the problem instead of NVSNPU.SYS

Hmm I thought BSOD was dead with WIN XP
Do a clean install of Win XP with SP2 and install the drivers provided with the CD and see if it re-occurs..

And believe me...i have formatted my hdd last two weeks more than anyone in blore i guess...been trying different xps ...home..pro...mce...mce2k5....
that combined with diff service packs...sp1..sp2....automatic online updates..
and that combined with diff driver versions....tried diff nforce drivers...all 6.xx drivers
not to mention diff ati drivers..the original one...catalyst...DNA...and what not
even tried replacing my RAM chip with a new one...
nothings helped so far..
yesterady even removed my pci firewire card...
still no luck...
i Have to add that i get this BSODS only when i overload my Rig too much...like 2 diff p2p softwares downloaidn...a NAV computer scan going on....and some other thing ...and BANG...BSOD
and most of the time when i keep it on overnight for downloads...
am having serious doubts about my BEETEL ADSL usb modem now....
still trying different things continuously..
I really dont trust my comp dealer can do any better...so not at all visiting him for solutions..

try updating the BIOS of ur mobo.....
is there any driver name specified when you get the bsod ?
what are your system temps like ? try running task manager to see if the bsod happens when your cpu use goes to 100% or when theres very little memory space left
could be your memory as well , try giving it a bit higher voltage in the bios or loosen the memory timings
also try running memtest to rule out memory problems
try running without any peripherals like modem , sound card etc till you sort out your problems
hey can u throw more light on loosening timings...which one wud be ideal for hynix 512mb 400mhz

Have you disabled the "legacy USB Support" in the bios? Please check that. If yes, then change it to auto.
EDIT:
Also try that "Load Failsafe Default" or something similar that is there in the Bios

googled for ndis .. most errors seem to point to irq conflicts or a problem with a netgear network adaptor. are you on a network or anything ?Originally Posted by draz

try a timing of 3-4-4-8 with 1t/2t timing set to auto.
well...i am using Airtel(touchtel) broadband whih i connect throught a ADSL modem.

I think i got what the problem is ....am 90% sure.
Its my Beetel (globespanvirata usb adsl wan modem) dsl modem.
I have a Airtel(touchtel) dsl connection. The problem is with the drivers of this modem and some update by microsoft.
They had done some update in sp1 or 2 for DHCP Media Sensing which causes BSOD while downloading from P2P s/w or rather any downloads for a longer period of time...or something like that
the bottom line is that the usb modem requires new drivers.
I even tried disabling DHCP media sense in windows registry...but even thats not helping.
I searched the net for new drivers but they r nowhere avilable...just one site with nov 2003 drivers..
Can anyone lemme know where i can get the drivers for this one or any workaround.
