Yes you have to download the latest bios but that should be installed before overclocking. The instructions for downloading and installing BIOS updates vary. For most PCs with Windows XP, download the file, open it and follow the on-screen instructions. For others, save the downloaded file to the hard drive, insert a formatted disk, open the downloaded file to copy the BIOS files to the disk, and then restart the computer with the disk still in the drive.
You may probably be running very close to the processor's limits, which may caused a unstable situation. You can give it a try by upgrading the bios to make it stable or you can also get it stable by resetting the bios to the default setting and repeating the overclocking process.
What is the CPU temperatures? It seems to me a heating problem which may be causing the problem. You can upgrade your bios but be careful because sometimes this may also lead to some CMOS checksum errors. In such situation, restart your computer and enter the BIOS screen. Press the F5 key to load the default BIOS configuration and save it using F10 key. This will bring your bios at the default configuration.
