Processor : Amd phenom 2 x4 965 3.4ghz black edition
MotherBoard : Gigabyte M61PME-S2P
Ram : 3gb
Graphic card : nvidia 9400 gt

i need to uprade my graphic card to ati raedon hd 6770. will it compatible with my conig or any other suggesions for gfx card....

Yes it seems to be compatible if you are having 450 Watt or greater power supply with one 75W 6-pin PCI Express connectors, you can just check out the AMD Radeon HD 6770 Graphics system requirement here.
